Membership Agreement

This Membership Agreement (“Agreement”) is entered into as of the date of acceptance (“Effective Date”) by the individual or entity (“Member”) who accepts the terms of this Agreement by registering for an account with Students Networks, a social network and a marketplace provider (“Provider”).

1. Membership Benefits
   a. Upon acceptance of this Agreement, the Member will receive access to the Provider’s social network and marketplace.
   b. The Provider may offer additional benefits and services to Members from time to time, subject to the Member’s compliance with the terms of this Agreement.
   
   
2. Membership Fees
   a. The Member shall pay membership fees in accordance with the Provider’s pricing and payment policies.
   b. Membership fees are non-refundable.
   
   
3. Term and Termination
   a. This Agreement shall remain in effect until terminated by either party.
   b. The Provider may terminate this Agreement at any time and for any reason, including without limitation for Member’s breach of this Agreement.
   c. The Member may terminate this Agreement by providing written notice to the Provider.
   d. Upon termination of this Agreement, the Member’s access to the Provider’s social network and marketplace shall be terminated.
   
   
4. Use of Provider’s Services
   a. The Member agrees to comply with all applicable laws, regulations, and Provider policies in connection with its use of the Provider’s social network and marketplace.
   b. The Member shall be solely responsible for all content posted by the Member on the Provider’s social network and marketplace.
   c. The Provider reserves the right to remove any content posted by the Member that violates this Agreement or the Provider’s policies.
   
   
5. Confidentiality
   a. The Member agrees to keep confidential all non-public information provided to the Member by the Provider.
   b. The Member shall not disclose such non-public information to any third party without the Provider’s prior written consent.
   
   
6. Intellectual Property
   a. The Provider owns all rights, titles, and interests in and to its social network and marketplace, including all intellectual property rights.
   b. The Member shall not reproduce, distribute, or otherwise use the Provider’s intellectual property without the Provider’s prior written consent.
   
   
7. Disclaimer of Warranties
   a. The Provider provides its social network and marketplace “as is” and without warranty of any kind.
   b. The Provider disclaims all warranties, whether express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, or non-infringement.
   
   
8. Limitation of Liability
   a. The Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, including, without limitation, loss of profits, data, or use.
   b. The Provider’s liability under this Agreement shall be limited to the amount of fees paid by the Member to the Provider.
   
   
9. Governing Law
   This Agreement shall be governed by and construed in accordance with the laws of the state of [insert state], without regard to its conflict of laws provisions.
   
   
10. Entire Agreement
    This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and negotiations, whether written or oral.
    
    
11. Amendments
    This Agreement may be amended by the Provider from time to time in its sole discretion. Any such amendments upon acceptance of this Agreement shall bind the Member.
